There are no clear legal provisions about the offer via invoice in Iranian civil cod. Of course, the legal Articles: 191 – 192 -339 and 340 of the Civil Code refer to this issue In general.
1- Offer in Iranian Civil Cod
There are many interpretations in the form of books and articles on offer in Iranian civil cod. We are not discussing those interpretations here but only we mention general rules.
1- The deal can only be concluded via offer and acceptance; and
2- The issuance and sending of the invoice is, in fact, a sales offer; and
3- If the invoice has a specified time limit for acceptance, it is valid. Customer acceptance after this period is not valid; and
4- If there is no time limit in the invoice, Customer acceptance must be made within a reasonable period of time; and
5- The seller can withdraw his invoice as long as the customer has not accepted the offer.
